General Terms and Conditions of Sale

These General Terms and Conditions of Sale (the Terms) govern the purchase of goods and services (the Products) from [Your Company Name] (Seller, we, our) by any natural or juridical person (Buyer, you). By placing an order you acknowledge that you have read, understood and accepted these Terms.

1. Scope of Application

The Terms apply to all offers, contracts, deliveries and aftersales services unless expressly stated otherwise in writing. They are supplementary to any statutory provisions that cannot be waived by law.

2. Offer and Contract Formation

• 2.1 Offer All product listings, price lists and catalogues are nonbinding invitations to treat. They do not constitute a legal offer.
• 2.2 Acceptance A contract is formed when the Buyers order is confirmed by the Seller in writing (email, order confirmation page, etc.).
• 2.3 Corrections The Seller reserves the right to correct typographical errors, price mistakes or incorrect product descriptions before the confirmation is sent.

3. Prices, Taxes and Payment

• All prices are indicated in Euro () and are exclusive of statutory VAT, unless otherwise stated.
• VAT and any other applicable taxes will be added to the invoice at the rate prevailing at the time of invoicing.
• Payment must be made within 30 days of the invoice date, unless a different payment term is agreed in writing.
• Accepted payment methods: bank transfer, credit card, PayPal, or any other method expressly offered at checkout.
• Late payments are subject to interest of 9% per annum above the base rate of the European Central Bank, plus reasonable collection costs.

4. Delivery

• Delivery terms are defined in the order confirmation (e.g., EXW, DAP, DDP).
• Risk of loss or damage passes to the Buyer at the moment the Products are handed over to the carrier, unless DDP is agreed.
• Delivery dates are estimates only. The Seller is not liable for delays caused by force majeure, carrier strikes, customs procedures or other circumstances beyond its control.

5. Inspection and Acceptance

• The Buyer must inspect the Products immediately upon receipt.
• Any visible damage, shortage or nonconformity must be reported to the Seller in writing within 7 days of delivery.
• If the Buyer fails to notify the Seller within the above period, the Products shall be deemed accepted and the risk of loss transferred to the Buyer.

6. Warranty

• The Seller warrants that the Products are free from material defects and conform to the specifications at the time of delivery for a period of 12 months unless a different warranty period is stated.
• The warranty does not cover defects caused by improper installation, misuse, alteration, or normal wear and tear.
• In case of a valid warranty claim, the Seller may, at its discretion, repair, replace or refund the affected Products.

7. Returns and Cancellation

• For consumer buyers, the statutory right of withdrawal applies (14 days from receipt) according to the EU Consumer Rights Directive.
• Business buyers may return noncustomised products within 30 days of receipt, provided the goods are unused, in original packaging and a return authorization has been obtained.
• Return shipping costs are the responsibility of the Buyer unless the return is due to a defect or an error by the Seller.

8. Limitation of Liability

• The Seller shall be liable only for foreseeable direct damages arising from breach of contract, up to the total amount paid by the Buyer for the affected Products.
• Consequential, indirect, incidental, punitive or loss of profit damages are excluded.
• The limitation of liability does not apply to liability for death or personal injury caused by the Sellers negligence.

9. Intellectual Property

All copyrights, trademarks, designs and patents belonging to the Seller remain the exclusive property of the Seller. The Buyer receives a limited, nontransferable licence to use the Products for their intended purpose only.

10. Confidentiality

Both parties agree to keep confidential any nonpublic information exchanged in connection with the contract and to use it solely for the performance of the contract.

11. Force Majeure

Neither party shall be liable for failure to perform any obligation if such failure is caused by events beyond its reasonable control, including natural disasters, war, riots, pandemics, governmental actions, or strikes. The affected party must promptly notify the other party and may suspend performance until the impediment ceases.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to them shall be governed by the laws of Germany. The exclusive place of jurisdiction shall be the courts of the Sellers registered office, unless statutory provisions dictate otherwise.

13. Amendments

The Seller reserves the right to amend these Terms at any time. Amendments become effective upon publication on the Sellers website. Continued use of the Sellers services after such publication constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
